Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AIRouter platform, API, and related services (the "Service") operated by AIRouter, Inc. ("we", "us", "our"), a company incorporated in the State of Delaware, USA. By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must register for an account and provide a valid email address. You are responsible for maintaining the confidentiality of your API key and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

2. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any aspect of the Service
  • Resell access to the Service without prior written authorization
  • Exceed rate limits or otherwise abuse the Service in a manner that degrades performance for other users

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice.

3. Provider API Keys

The Service acts as a proxy between your applications and third-party AI providers (Anthropic, OpenAI, xAI, Google, and others). You must supply your own API keys for each provider. We transmit these keys only to process your requests and do not use them for any other purpose. You are solely responsible for compliance with each provider's terms of service and usage policies.

4. Fees and Billing

The Service charges a platform fee (currently 5%) on top of provider costs. Platform subscription fees, where applicable, are billed monthly. All fees are non-refundable unless required by law. We reserve the right to change pricing with 30 days' advance notice.

5. Data Handling

We do not store the content of your requests or responses. Request metadata (timestamps, token counts, agent IDs) is retained for billing and analytics purposes. Provider API keys are stored encrypted at rest. For full details, see our Privacy Policy.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The Service is provided on an "as is" and "as available" basis. We are not liable for downtime caused by third-party providers, network outages, scheduled maintenance, or force majeure events.

7. Limitation of Liability

To the maximum extent permitted by law, AIRouter, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless AIRouter, Inc. and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Intellectual Property

The Service, including its design, code, and documentation, is the property of AIRouter, Inc. and protected by applicable intellectual property laws. You retain ownership of all content you create or process through the Service.

10. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 14 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11. Termination

You may terminate your account at any time by contacting support. Upon termination, your agents and associated data will be deleted within 30 days. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
